Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Digica’s website, online store, mobile application, digital profile tools, public profile pages, products, subscriptions, and related services (the “Services”). By accessing or using the Services, you agree to these Terms.

1. Eligibility and accounts

You must be legally able to enter a binding contract to use the Services where an account or purchase is required. You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. Notify us promptly of unauthorized use.

2. The Services

Digica may offer digital tools (including profile and networking features), software, content, physical products, subscriptions, and support as described on the Services. We may modify, suspend, or discontinue features with reasonable notice where practicable, or immediately where required for security or legal reasons.

3. Orders, pricing, and payment

Product descriptions, prices, fees, taxes, and availability are shown through the Services and may change. When you place an order, you offer to purchase at the terms presented at checkout. We may accept or decline orders where permitted by law (for example, for fraud prevention, inventory limits, or errors).

4. Subscriptions

If you purchase a subscription, it renews as described at purchase unless you cancel in accordance with the cancellation instructions we provide. Failure to pay may result in suspension or termination of subscription benefits.

5. Acceptable use

You agree not to misuse the Services, including by:

  • Violating applicable law or third-party rights
  • Attempting to gain unauthorized access to our systems, other users’ accounts, or data
  • Distributing malware, conducting denial-of-service attacks, or interfering with the integrity of the Services
  • Scraping or harvesting data in violation of our technical policies or applicable law
  • Using the Services to send unlawful, harassing, or deceptive communications

6. User content and public profiles

You may submit content (including profile information) through the Services. You retain ownership of your content to the extent you hold rights in it. You grant Digica a license to host, use, reproduce, modify, display, and distribute your content as reasonably necessary to provide and improve the Services, including showing public profile pages to visitors you choose to share with.

You represent that you have the rights to your content and that it does not violate these Terms or applicable law. We may remove content or suspend access where we reasonably believe it violates these Terms or creates risk.

7. Intellectual property

Digica and its licensors own the Services, including software, branding, and materials other than your content, subject to applicable open-source licenses where stated. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services without our consent.

8. Third-party services

The Services may link to or integrate with third-party services. Those services are governed by their own terms and privacy policies. Digica is not responsible for third-party services.

9. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by applicable law, Digica and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, or data, arising out of or related to your use of the Services.

To the maximum extent permitted by applicable law, Digica’s aggregate liability for claims arising out of or related to the Services will not exceed the total amount you paid Digica for the Services giving rise to the claim during the twelve (12) months before the claim (or, if no fees applied to that claim, Digica’s liability is limited to the fullest extent permitted by law).

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnity

To the extent permitted by law, you will defend and indemnify Digica against claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Services, or your violation of these Terms.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access where we reasonably believe you violated these Terms, created risk, or where required by law. Provisions that by their nature should survive will survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in Ontario for disputes arising out of or relating to these Terms or the Services, subject to any non-waivable rights you may have under consumer protection laws in your jurisdiction.

14. General

These Terms constitute the entire agreement between you and Digica regarding the Services and supersede prior agreements on the same subject. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
